While corporate bylaws are not required under the California Corporations Code, it is good corporate governance to adopt bylaws.
The bylaws form can be adopted by the incorporator(s) or directors of the company. The bylaws are not filed with the California Secretary of State but a copy should be placed in the corporation’s minute book and held at the corporation’s principal place of business.
